Chapter III Account Management
3.1 Account Registration & Authenticity of Information
3.1.1 When registering an account in the System, the User must submit authentic, accurate, complete, and valid identity information and corporate qualification documents (including but not limited to business licenses, statutory representative identity documents, etc.).
3.1.2 In the event of any changes to the User's registered information, contact details, or corporate qualifications, the User shall update such information in the System or notify the Platform in writing within three (3) business days of such change. The User shall bear all liabilities for service interruptions, delivery failures of official notices, or any losses resulting from failure to update information in a timely manner.
3.2 Security and Custody of Account Credentials
3.2.1 Upon successful registration, the Platform will generate a primary administrator account for the User. The User shall properly safeguard all authentication credentials, including usernames, login passwords, API Keys, and API Secrets.
3.2.2 All operations performed under the User's account credentials (including but not limited to logging in, calling API interfaces, submitting data, issuing instructions, and modifying configurations) shall be deemed authorized acts of the User itself. The User shall bear full legal responsibility for all consequences arising therefrom.
3.2.3 Users shall not gift, lend, rent, transfer, or license their account credentials to any unauthorized third party.
3.3 Sub-Accounts and Permission Management
3.3.1 The User is entitled to create sub-accounts under its primary account within its authorized quota, and assign specific operational permissions to its internal employees or affiliates.
3.3.2 All actions conducted by sub-accounts and the legal consequences thereof shall be borne entirely by the User. The User shall maintain robust internal access control mechanisms and promptly revoke or modify sub-accounts and permissions upon employee termination or job reassignment.
3.4 Abnormal Login and Security Incidents
3.4.1 If the User discovers that account credentials are lost, leaked, or subjected to unauthorized access or misappropriation, it shall immediately notify the Platform via designated emergency customer service channels and apply to freeze the account or reset credentials.
3.4.2 The Platform shall not be liable for any loss or data leakage incurred due to fraudulent use of the account prior to receiving valid notification from the User. Nor shall the Platform be liable for losses occurring during the reasonable timeframe required to take freezing or suspension actions upon receipt of such notice, except where caused by the Platform's intentional misconduct or gross negligence.
Chapter IV Service Fees
4.1 Fee Structure & Service Packages
4.1.1 The System adopts a combined charging model of "Core Subscription Package + Optional Value-Added Services", operating under a strict 100% upfront prepayment principle (payment prior to usage).
4.1.2 Core Subscription Packages: Users may subscribe to different tiers and durations of core service packages (including but not limited to Free Edition, Basic Edition, Professional Edition, Enterprise Edition, Flagship Edition, etc.) based on business requirements. The order quota, service duration, number of sub-accounts, warehouse capacity, and support service levels included in each package shall be governed by the package details displayed on the System interface at the time of purchase or the order form executed by both parties.
4.1.3 Optional Value-Added Services: Users may voluntarily purchase one-off or itemized value-added services (such as remote warehouse layout design, independent enterprise database deployment, smart hardware integration, advanced brand management, etc.) on top of their core subscription. The scope, fee schedule, and delivery milestones for value-added services shall be subject to the real-time display on the purchase page.
4.2 Payment & Service Provisioning
4.2.1 When purchasing or renewing, the User shall pay the full amount of the selected core service package and value-added services in a lump sum via online payment channels or offline corporate bank transfers designated by the Platform.
4.2.2 The Platform will activate the corresponding subscription permissions or initiate value-added service delivery upon confirming receipt of the User's full prepaid fees. The Platform reserves the right to withhold service activation or suspend delivery if full payment has not been verified.
4.3 Quota Depletion, Expiration & Renewal
4.3.1 Order Quotas & Term: If the subscription package contains a capped order volume (quota) or validity term, the User shall utilize the service within such parameters. Once the package expires or the order quota is depleted (whichever occurs first), service capabilities will automatically pause or become restricted, and the User must purchase a new package or execute a renewal.
4.3.2 Overdue Accounts & Expiration Actions: In the event of subscription expiration or quota exhaustion without timely renewal or upgrade, the Platform has the right to restrict, freeze, or suspend access to part or all of the System. The User shall solely bear all operational losses resulting from delayed renewal, including warehouse operation stoppages or order fulfillment delays.
4.4 Taxes and Refund Policy
4.4.1 Upon receiving full payment, the Platform shall issue a compliant tax invoice in accordance with applicable tax laws based on the actual tax-inclusive amount paid. The User must provide accurate invoicing details (corporate entity name, Taxpayer Identification Number, etc.) and shall be responsible for their authenticity.
4.4.2 Given that the services involve software license activation, cloud resource pre-allocation, and manual value-added service scheduling, all paid subscription fees and value-added service charges are non-refundable once paid, except as otherwise mandated by compulsory provisions of law or explicitly agreed herein.
Chapter V Data Ownership
5.1 Ownership of User Data
5.1.1 All business data imported, entered, generated, processed, or stored by the User during the utilization of the System (including but not limited to SKU master files, inventory records, bin location maps, inbound/outbound orders, shipment records, recipient addresses, and contact numbers, collectively "User Data") shall remain the absolute property of the User, and all intellectual property rights and related legitimate interests therein belong exclusively to the User.

7.2.2 The Receiving Party shall utilize Confidential Information solely for the performance of this Agreement. Without prior written permission from the Disclosing Party, it shall not disclose such information to any third party.
7.2.3 The Receiving Party may disclose Confidential Information only to its necessary officers, employees, legal counsel, accountants, or professional advisors ("Permitted Personnel") who need to know such information for the purposes hereof, provided that such Permitted Personnel are bound by confidentiality obligations no less stringent than those set forth herein. The Receiving Party shall remain fully liable for any breach caused by its Permitted Personnel.
7.3 Compelled Disclosure Exceptions
If the Receiving Party is compelled by applicable laws, court orders, or regulatory demands to disclose Confidential Information, it shall (to the extent legally permissible) provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek protective orders or other remedies, and shall disclose only that portion of Confidential Information strictly required to comply.
7.4 Term of Confidentiality
The confidentiality obligations under this Chapter shall survive any amendment, rescission, termination, or expiration of this Agreement, and shall remain continually binding until the relevant Confidential Information lawfully enters the public domain.

Mandatory power grid cutoffs or server facility closures commanded by government agencies, judicial authorities, or energy/telecom regulators.
11.2 Relief from Liability and Notification
11.2.1 If either party is delayed or prevented from performing its obligations under this Agreement (excluding payment obligations) due to Force Majeure, the affected party shall be relieved of liability for breach to the extent of such impact.
11.2.2 The affected party shall notify the other party in writing, via system broadcast or email within seven (7) business days of the occurrence, and shall furnish competent evidentiary documentation issued by authoritative bodies within a reasonable period.
11.2.3 The affected party shall take all feasible and reasonable measures to mitigate the losses and operational impacts caused by the Force Majeure event.
11.3 Modification & Termination
If a Force Majeure event persists for more than thirty (30) consecutive days and renders the continued performance of this Agreement futile or impossible, either party may terminate this Agreement by written notice without liability for breach. Following termination, both parties shall perform data export and settlement procedures in accordance with Chapter XIV.
Chapter XII Limitation of Liability
12.1 Consequential Damages Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE PLATFORM BE LIABLE TO THE USER, UNDER ANY CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHER LEGAL THEORY, FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF BUSINESS REPUTATION, OR LOSS/CORRUPTION OF DATA, REGARDLESS OF WHETHER THE PLATFORM WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 Aggregate Liability Cap
THE PARTIES EXPRESSLY AGREE THAT THE MAXIMUM AGGREGATE LIABILITY OF THE PLATFORM ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SYSTEM SHALL IN NO EVENT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE USER TO THE PLATFORM FOR THE AFFECTED SERVICE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE INCIDENT GIVING RISE TO LIABILITY. IF THE USER USES A FREE TIER OR HAS PAID NO FEES, THE PLATFORM’S MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED RMB 100 YUAN.
12.3 Limitation Period & Risk Allocation
12.3.1 Any claim, arbitration, or lawsuit initiated by the User arising out of this Agreement must be filed within one (1) year after the cause of action arises; failure to file within such period shall constitute an absolute waiver of such claim.
12.3.2 The liability caps and damages exclusions established in this Chapter constitute an essential foundation of the commercial bargain between the parties. The service pricing offered by the Platform directly reflects this negotiated allocation of commercial risk.
Chapter XIII Breach of Contract
13.1 Events of Default
Any failure by either party ("Defaulting Party") to perform any representation, warranty, covenant, or obligation under this Agreement, or any violation of the provisions hereof, shall constitute an event of default.
13.2 Remedies for User Default
Upon the occurrence of any of the following defaults by the User, the Platform is entitled to immediately restrict, suspend, or terminate services, freeze or close user accounts, and demand rectification within a specified period:
Failure to pay subscription fees or renewal charges in full as agreed;
